Terms of Service

These Terms of Service ("Terms") govern the relationship between Velox Studio (a trading name of CGC Clinic Marketing – FZCO) and clients who engage Velox Studio for website design, development, CRM and automation builds, and ongoing platform services. By accepting a quote or engaging our services, you agree to these Terms.

1. Services

Velox Studio provides:

• Custom website design and development
• CRM and automation development and integrations
• Ongoing platform services including hosting, maintenance, and support (our "Care plan")

2. How payments work

Every project is quoted under one of three plans — Launch, Managed, or Flex. Full pricing for each is published on our pricing page. In every case:

• No payment is required to submit a brief, reserve a slot, or receive a quote
• A deposit becomes due only once you accept your quote
• Launch and Managed: the remaining balance is due on completion of the build. Managed also includes our Care plan, billed monthly, from launch
• Flex: instead of a balance on completion, the remaining amount is spread across fixed monthly installments, as set out in your quote
• Launch and Flex clients may add the Care plan at any time, billed monthly
• Exact amounts, installment counts, and Care pricing are confirmed in your project quote
• Late or missed payments may pause services until resolved

3. Care plan and cancellation

• Where a Care plan is included or added, it continues on a rolling monthly basis once any fixed installment term (e.g. a Flex plan) has ended
• Either party may cancel the Care plan with 30 days' written notice

4. What the Care plan includes

Where included or added, Care covers:

• Website hosting on enterprise-grade infrastructure
• SSL certificate and domain management
• Daily backups and security monitoring
• Software and dependency updates
• Access to your Velox Studio client portal for messages, tasks, and invoices

5. What happens when you cancel

• Upon cancellation of a Care plan, your website will remain live until the end of your final paid month
• You own your content (text, images, logos) and these will be provided to you on request
• Velox Studio retains ownership of the codebase, hosting infrastructure, and any custom tooling built for your project
• A static HTML export of your site will be provided free of charge on request, which you may use to rebuild elsewhere
• Velox Studio is not responsible for any costs incurred in migrating to a new provider

6. Intellectual property

• All custom designs, code, and builds remain the property of Velox Studio until the total project value quoted for your plan has been paid in full
• Once your project has been paid in full, you own the design and visual assets of your project
• The underlying codebase, infrastructure, and platform remain Velox Studio property at all times
• Any third-party tools, frameworks, fonts, or licensed assets used in your project are subject to their respective licences

7. Client responsibilities

You agree to:

• Provide accurate and timely information for your project
• Review and approve deliverables within reasonable timeframes
• Ensure any content you supply is owned by you or properly licensed

8. Revisions and scope

• Each project includes a defined number of revisions as detailed in your quote
• Changes outside the agreed scope may incur additional fees, which will always be quoted before work begins

9. Limitations of liability

• To the fullest extent permitted by law, Velox Studio shall not be liable for any indirect, incidental, or consequential damages
• Our total liability for any claim shall not exceed the total amount paid by you in the 12 months preceding the claim
• We are not responsible for third-party services or integrations

10. Termination for cause

• Velox Studio may suspend or terminate services immediately if payment obligations are not met after reasonable notice, or if you breach these Terms in a material way
• Deposits and fees paid are non-refundable once work has commenced

11. Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the free zone in which CGC Clinic Marketing – FZCO is registered. Any disputes shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.

Business information: Velox Studio is a trading name of CGC Clinic Marketing – FZCO.
